The licence under which authorised users — administrators, teachers, students, parents, and staff — access and use Saraswati EDU. This agreement applies in addition to the Terms of Service and the Privacy Policy.
Sections 3, 5, 10, 11, 12, 13 cover prohibited use, AI responsibility, the disclaimer, limitation of liability, indemnity, and governing law. They materially shape what You may and may not do with Saraswati EDU and what either party is legally responsible for.
0. Notice to user
This End-User Licence Agreement ("EULA") is a contract between you, the individual user ("You"), and Neural Sherpa, the owner and operator of the Saraswati EDU platform ("Neural Sherpa"). By logging in to, or otherwise using, the Saraswati EDU application — through a web browser, the Progressive Web App, a mobile shell, an embedded API, or any other channel — You agree to be bound by this EULA in addition to the public Terms of Service and the Privacy Policy.
If You do not agree, You must not use the Service. Use is conditional on continued compliance with this EULA.
1. Licence grant
Neural Sherpa grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Saraswati EDU Service through the credentials issued to You by an authorised representative of Your school (the "Subscriber"), solely for the educational and operational purposes for which the Subscriber procured the Service.
This licence terminates automatically when (a) the Subscriber's subscription terminates, (b) Your role at the school ends, or (c) Neural Sherpa or the Subscriber disables Your account, whichever occurs first.
2. Permitted use
Use the Service only for lawful, school-related purposes consistent with the role assigned to Your account (administrator, teacher, student, parent, staff).
Treat any data You see in the Service — including data about other students, parents, or staff — as confidential and disclose it only as Your role requires.
3. Prohibited useCrucial
You shall not, and shall not attempt to: (a) access any data or function outside the scope of Your assigned role; (b) share Your account credentials with any other person; (c) circumvent, disable, or interfere with security or audit features; (d) reverse engineer, decompile, disassemble, or attempt to derive source code or model weights from the Service; (e) use the Service or any content obtained from it to train any machine-learning model not owned by Neural Sherpa; (f) probe, scan, or test the vulnerability of the Service without prior written authorisation from Neural Sherpa; (g) use the Service to transmit malware, harassment, hate speech, sexual content involving minors, or any other unlawful content; (h) use the Service to generate or distribute fraudulent, defamatory, or impersonating content; (i) make any portion of the Service available to a third party as a service bureau, hosted application, or otherwise; (j) remove or alter any proprietary notice or branding.
4. Account, security, and incidents
You are responsible for safeguarding Your password, multi-factor codes, and any device that holds an active session. You must immediately notify the Subscriber and Neural Sherpa ([email protected]) of any actual or suspected unauthorised access.
Neural Sherpa may suspend Your access immediately, without prior notice, where suspicion of compromise, abuse, or breach of this EULA reasonably exists.
5. AI features and content responsibilityCrucial
Some features rely on machine-learning models. Their outputs are decision-support, not authoritative. You remain responsible for verifying, editing, and deciding to act on any AI-generated content (drafted notices, suggested remarks, dropout-risk flags, counselling suggestions). You shall not present AI output as a substitute for professional clinical, legal, or financial advice.
You shall not attempt to extract, copy, or reverse-engineer the AI models, their system prompts, or their training data, nor instruct the assistant to act outside the safety policy.
6. User-generated content
Anything You upload, post, comment, or send through the Service — including messages, homework submissions, photos, audio recordings, and reports — must comply with applicable law and the school's policies. You retain ownership of Your content; You grant the Subscriber and Neural Sherpa the licence necessary to deliver the Service to You and the school.
Do not upload personal data of third parties without their consent. Do not upload content involving minors that You do not have legal authority to share.
7. Privacy
Your use of the Service is governed by the Privacy Policy, which describes what data We collect, how it is used, who can see it, and how You can exercise data-subject rights.
If You are under eighteen (18), Your school is responsible for obtaining appropriate parental consent. By using the Service You confirm such consent has been provided where required.
8. Intellectual property
The Service, including all software, models, datasets, prompts, designs, brand assets, and documentation, is the exclusive property of Neural Sherpa and is protected by Nepali and international intellectual-property law. No express or implied licence is granted beyond the limited right of access in Section 1.
9. Termination
This EULA terminates automatically when Your account is disabled or the Subscriber's subscription ends. On termination You must cease all use of the Service. Sections 3, 4, 8, 10, 11, 12, and 13 survive termination.
10. Disclaimer of warrantiesCrucial
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". NEURAL SHERPA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of liabilityCrucial
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL SHERPA AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, REVENUE, OR REPUTATION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. NEURAL SHERPA'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED NPR 5,000 OR THE FEES YOU PERSONALLY PAID NEURAL SHERPA IN THE PRECEDING TWELVE (12) MONTHS, WHICHEVER IS LESS.
Where Nepali law does not permit a complete exclusion, liability is limited to the smallest extent permitted.
12. IndemnityCrucial
You agree to indemnify and hold harmless Neural Sherpa, its officers, employees, contractors, and licensors from any claim, loss, or liability arising out of (a) Your breach of this EULA, (b) Your misuse of the Service, or (c) any content You upload to the Service.
13. Governing law and jurisdictionCrucial
This EULA is governed by the laws of Nepal. You and Neural Sherpa submit to the exclusive jurisdiction of the District Court of Makwanpur (Hetauda), save that Neural Sherpa may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
14. Changes
Neural Sherpa may update this EULA at any time. We will display a notice in-product when material changes are made. Continued use of the Service after the effective date constitutes acceptance of the revised EULA.
